Energy continuity during a hotel ownership change depends on several separate records. The incoming owner may need utility accounts, the outgoing owner may have ongoing supply obligations, and the supplier may require consent or new credit review. Those records should agree on the intended transition without being collapsed into one closing date.
Use this document only for energy accounts and agreements. It does not allocate broader transaction liabilities or replace the parties’ authorized legal and accounting review. The procurement hub provides the energy decision context, while the new-property onboarding checklist organizes operating access after the transition.
What should the energy transition register show?
| Account, meter, agreement | Outgoing owner and end evidence | Incoming owner and start evidence | Consent, decision, exception |
|---|---|---|---|
Add the property, planned transaction date, actual account transition dates, outgoing and incoming coordinators, signing authorities, supplier contact, utility contact, and version date. Record the accepted date separately from the requested date. A single document can show multiple meters, but accounts with different agreements or start rules need their own rows and evidence.
Which actions should the parties complete?
- Inventory all energy accounts and agreements.
Collect current utility bills, meter identifiers, supplier agreements, account schedules, amendments, notices, and any relevant service arrangements. Match the list to the property boundary, including separately controlled facilities. Identify accounts not held by the outgoing owner and explain who controls them. Distinguish executed documents from proposal files. Record end dates and renewal treatment as verified only when supported. Give missing records a retrieval owner early, because a supplier transition cannot be reliably reviewed against a contract that nobody has located.
Status: □ Pending □ Complete □ Exception. Inventory owner: __________. Document index: __________. Missing account or agreement: __________.
- Assign outgoing and incoming responsibilities.
Name the person authorized to request account changes, communicate with the supplier, approve terms, and resolve invoice questions for each party. Reconcile entity names with the transaction team’s instructions and current utility records. A manager’s operational role may differ from the owner’s signing authority. Record the approved scope for any broker or adviser, including compensation payer, amount or method, units, and embedded or separate treatment. Count embedded compensation once and identify separate transition services before authorizing work.
Status: □ Pending □ Complete □ Exception. Authority reviewer: __________. Responsibility evidence: __________. Unassigned task and decision: __________.
- Review supplier assignment and termination language.
Locate provisions addressing assignment, consent, change in control, relocation, account closure, credit, and early termination. Ask the supplier how the proposed transaction affects the actual agreement. Obtain the authorized review of any required consent, replacement contract, or termination calculation. Keep the clause reference and written response together. Do not infer a right to exit merely because ownership is changing. The contract clause checklist provides a more detailed issue register when proposed treatment remains uncertain.
Status: □ Pending □ Complete □ Exception. Clause reference: __________. Supplier response: __________. Reviewer and accepted treatment: __________.
- Confirm utility account procedures separately.
Ask the utility what is required to close, open, or change each delivery account while maintaining the intended service. Record applications, credit requirements, meter-reading arrangements, and accepted effective dates. Distinguish a requested mailing change from an accepted account-holder change. Coordinate physical service continuity with the property’s facilities lead. The supplier’s consent does not establish that the utility completed its process, and a utility account change does not establish that the supply agreement was assigned. Keep separate status fields for those two tracks.
Status: □ Pending □ Complete □ Exception. Utility coordinator: __________. Account acceptance evidence: __________. Continuity condition or delay: __________.
- Reconcile dates before the handoff.
Put the transaction date, supplier treatment, utility end and start dates, enrollment timing, and relevant readings on one calendar. Identify any gap, overlap, or date still awaiting acceptance. Ask the responsible parties to explain how charges and obligations will be handled during that interval. Use actual meter-read or utility rules where applicable rather than forcing every event to midnight on the transaction date. Preserve the approved transition method and keep changes visible when a closing schedule moves or account acceptance arrives later.
Status: □ Pending □ Complete □ Exception. Calendar owner: __________. Date evidence: __________. Gap or overlap decision: __________.
- Transfer operating records and authorized access.
Provide the incoming team the meter map, agreed account arrangements, current contracts, billing contacts, and operational information needed for continuity. Follow the parties’ approved document-sharing and access procedures. Do not transfer personal credentials as a substitute for setting up authorized access. Record who can retrieve invoices and intervals, update account contacts, and initiate an escalation. Identify records retained by the outgoing party and a route for later adjustment questions. The handoff should remain useful after the transaction team stops meeting daily.
Status: □ Pending □ Complete □ Exception. Records owner: __________. Handoff manifest: __________. Access limitation and recovery action: __________.
- Check final and opening invoices.
Reconcile service dates, readings, quantities, supplier identification, charges, credits, and account holders against the accepted transition. Apply the parties’ documented allocation method through the authorized accounting process. Do not assume the first invoice labeled final includes every later adjustment. Track deposits, credit-support release, or account refunds when applicable using the agreement and utility evidence. Keep an item open until the relevant payment, correction, or acknowledgment is supported. The monthly bill checklist can carry the incoming review forward.
Status: □ Pending □ Complete □ Exception. Invoice reviewer: __________. Allocation evidence: __________. Adjustment or refund follow-up: __________.
- Close obligations individually and retain the exception list.
Obtain the available confirmations for utility closure or activation, supplier assignment or replacement, and financial release where relevant. Mark each completed obligation separately. Keep unresolved notices, corrections, missing data, or pending credit conditions assigned to a named party with a due date. Preserve the executed transition documents and final register versions. A general statement that energy transferred is less useful than a record showing which accounts were accepted, which obligations ended, and which matters remain subject to follow-up.
Status: □ Pending □ Complete □ Exception. Closure reviewer: __________. Completion evidence: __________. Remaining obligation and owner: __________.
Why do the utility and supplier need different evidence?
EIA’s electricity-delivery explanation describes the physical utility system and the role of competitive suppliers where choice exists. The physical service and the commercial supply arrangement are connected, but their account and contract procedures differ. Obtain confirmations from the parties responsible for each instead of assuming one message completes both.
Pennsylvania’s contract education highlights duration and cancellation as contract questions. Its consumer guidance does not supply the assignment rule for every commercial agreement. Read the actual language and record how the supplier applies it to the proposed ownership change, with appropriate review of any disputed interpretation.
What should change if the transaction date moves?
Reopen the timing review for every affected account instead of updating only the cover sheet. Ask whether utility applications, supplier consent, credit review, enrollment instructions, or meter readings need revision. Record who approved the new date and which parties acknowledged it. An earlier confirmation may refer to the original date and should not be assumed to cover the revised handoff. Preserve both versions with a clear superseded label. Give accounting the current accepted dates and any unresolved difference so later invoice allocation follows the documented transition rather than a remembered closing schedule.
How should legal scope and unresolved matters be preserved?
Ohio rule 4901:1-21-12 demonstrates that customer classification affects which provisions apply. Its residential and small-commercial requirements should not be assumed to govern every hotel. The transition file should identify the jurisdiction, class, agreement, and particular evidence used for the account decision.
Keep a post-transition register with the issue, account, expected document or adjustment, outgoing and incoming contacts, responsible owner, due date, and approved disposition. Update it as actual evidence arrives. That record prevents delayed charges or unresolved consent from vanishing simply because property operations have successfully continued under the incoming team.
